AGREEMENT:

THIS AGREEMENT, Made and entered into this , by and between V. STEFANSSON, of the STEFANSSON ARCTIC EXPLORATION & DEVELOPMENT COMAPNY, of Vancouver, B.C., the party of the first part, and JOE BERNARD and [Ira M. Rank] -----------------, owners of the gas schooner "TEDDY BEAR", parties of the second part,

WITNESSETH:

That said parties of the second part hereby agree to proceed, without delay, to Wrangell Island, with said schooner "Teddy Bear", carrying three passengers, and not exceeding ten (10) tons of freight, md to leave any or all of said passengers on said Wrangell Island, if they so desire, and to carry from said Wrangell Island the represortatives of said party of the first part now upon said Island, not to exceed five in number, and the three passengers first above mentioned, in case they desire to return, and to land such passengers, together with their freight, at Nome, Alaska, during, the present open season, if possible, but if not, as soon thereafter as possible, and to supply all of said passengers with suitable grub while in transit, going or coming. But in the event said vessel is compelled to winter in said waters, then said first party is to pay said second parties for the keep of said passengers, at the rate of cost price for the provisions consumed by them.

In consideration of the agreements of said parties of the second part to be kept and performed, the said party of the first part hereby agrees that upon the departure of said schooner "Teddy Bear" for Wrangell Island, to pay the sum of ONE THOUSAND DOLLARS in cash, the receipt whereof is hereby

acknowledged by parties of the second part, and upon the successful performance of this agreement by second party to pay said second parties, upon their return to Nome, Alaska, the further sum of TWO THOUSAND DOLLARS. If, however, said second parties shall fail to reach Wrangell Island, and to return the representatives of first party to Nome, Alaska, then the said party of the first part shall be under no obligation to pay said sum of TWO THOUSAND DOLLARS, or any part of it.

Provided, however, that should the said parties of the second part reach Wrangell Island and ^after reasonable search find none of the said representatives of the said party of the first part still on the island, said parties of the second part are to be entitled to and to receive the final payment of Two Thousand Dollars ($2000.00) upon furnishing satisfactory proof of having been on the island ^and made such reasonable search.

Provided, also, that if said parties of the second part proceed to within a reasonable distance of Wrangel Island and find themselves unable to proceed further on account of solid ice, but conditions such that the said passengers can safely proceed over the ice to the Island and return to the vessel, then this will be accepted as full performance of the contract with reference to said passengers if any.

IT IS, HOWEVER, UNDERSTOOD AND AGREED that in case any of the passengers first above mentioned, or any of said representatives of first party shall elect to remain upon said Wrangell Island, then and in that event the said Two Thousand Dollars ($2000.00) shall, nevertheless, be paid upon satisfactory evidence that said parties of the second part were in a position to and offered to return said parties to Nome, Alaska.

IT IS FURTHER UNDERSTOOD AND AGREED that the goods and supplies to be carried by said parties of the second part to said Wrangell Island, shall be left with the persons remaining upon said

island, if any shall elect to so remain, and to the extent that said goods and supplies shall be needed by them, and that any or all of said goods not so needed may be disposed of by parties of the second part at such price as parties of the second part may see fit, over and above the cost of said goods, and to retain any sum or sums over and above said cost as their commission for selling and disposing of said goods, accounting for the balance.

IT 1S FURTHER AGREED that pending the full performance of said contract, the final payment of $2000.00 shall be deposited with the Miners & Merchants Bank, of Nome, in the shape of certified checks, to be paid over to the parties of the second part upon return of said parties of the second port and performance of said contract; provided, however, that should the said second parties be compelled to return to Nome without completing the contract then said parties are to sign release of said certified checks, enabling their return to the said party of the first part.
