I, H. I. MULCREVY County Clerk of the City and County of San Francisco, and ex-officio Clerk of the Superior Count thereof, the same being a Court of Record, Do HEREBY CERTIFY, That

James Mason

whose name is subscribed to the Certificate of the proof or acknowledgment of the annexed instrument and thereon written, was, at the time of taking such proof and acknowledgment, a Notary Public, in and for said City and County, residing therein, duly commissioned and sworn, and authorized by the laws of said State to take the acknowledgments in said State, to be recorded therein. And further that I am well acquainted with the handwriting of such Notary Public, and verily believe that the signature to said certificate of proof or acknowledgment is genuine.

In testimony whereof, I have hereunto set hand and affixed the seal of said Court, the 14th-day of Feb., 1908.

STATE OF CALIFORNIA :SS City and County of San Francisco

On this 13th day of February, 1908, before me, James Mason a Notary Public in and for the City and County of San Francisco, State of California, personally came George E. Crothers, to me known and known to me to be the Secretary of the Board of Trustees of the Leland Stanford Stanford Junior University, a body corporate under the laws of the State of California, who, being by me first duly sworn, did depose and say that he resides at the City and County of San Francisco, State of California; that he is the Secretary of The Board of Trustees of the Leland Stanford Junior University, the body corporate named in the attached certificate; that said body corporate has as yet adopted no seal and that for that reason no seal is affixed to the foregoing instrument; that by authority of said Board he signed the said certificate; that the said Charles G. Lathrop who executed the foregoing instrument as Treasurer of the said body corporate is the Treasurer thereof and signed said instrument by authority of its Board of Trustees.

And, further, I have seen the original minutes of the meeting of the Board of Trustees of said body corporate held on the 7th day of February, 1908, and have compared the copy of the Resolutions set forth in the annexed certificate of George E. Crothers as Secretary of said body corporate, with the original on the books of said body corporate and that it is a true and correct transcript from the same.

make and execute all necessary acts of assignment and transfer, and one or more persons to substitute with like full power, hereby ratifying and confirming all that our said attorney or substitute or substitutes shall lawfully do by virtue hereof.

Lathrop, Treasurer of THE BOARD OF TRUSTEES OF THE LELAND STANFORD JUNIOR UNIVERSITY to me personally known, and known to me to be the same person described in and who executed the foregoing Power of Attorney, and he duly acknowledged to me that he executed the same and he duly acknowledged the said Power of Attorney to be the act and deed of said THE BOARD OF TRUSTEES OF THE LELAND STANFORD JUNIOR UNIVERSITY and his own act and deed as such Treasurer.

AND BE IT FURTHER RESOLVED: That said Union Pacific Railroad Company, or its Transfer Agent, be and it is hereby authorized, empowered and requested to discharge the said bonds from registration and endorse the same to bearer and to return the same to said Lathrop or to such Bank as he may designate, and this shall be its authority for making such discharge of registration, and so returning said bonds."

THE undersigned hereby certifies that the foregoing is a true and correct copy of resolutions adopted at said meeting of said Board of Trustees; and further that said The Board of Trustees of the Leland Stanford Junior University has no seal.
