Comee on Lots
Voted. That Messrs Bond, Bigelow & C. P. Curtis by a committee on laying out & discontinuing lots in the said Cemetery, with power to employ as many hands as they shall see fit.
Do on Rules as to Visitors
Voted that Messrs Story & Curtis be a committee to Prepare Rules & Regulations concerning visitors & Interments at Mt. Auburn.—
Do on Seal.
Voted. That Messrs Bigelow & Story be a committee to devise a Seal for the Corporation & to report to the Trustees at a future meeting.—
Rules as to Visitors.—
Voted. That until further ordered, the Rules & Regulations adopted by the Garden & Cemetery Committee of the Masstts Horticultural Society, concerning visitors & interments at Mount Auburn be in full force.
Superintendent
Voted. That Mr John W. Russell be continued as Superintendant of the Mount Auburn Cemetery with all the powers & authorities heretofore conferred on him by the Masstts Horticultural Society, or the Garden & Cemetery Committee thereof.
Register of Interments
Voted. that Mr Gould be a committee to procure a book suitable for registering interments at Mount Auburn.

be a committee to consider & report what is necessary to be done with the Garden & Grounds at Mount Auburn.

Proprietors No Quorum
. This being the time to which the meeting of the Proprietors of the Cemetery of Mount Auburn stood adjourned the secretary attended at the Rooms of the Mass. Hor. Soy. at 4 o clock P.M. & a quorum for business not being present the meeting was further adjourned to Tuesday the .

Trustees
A meeting of the Trustees of the Proprietors of the Cemetery of Mount Auburn, was held at the Rooms of the Masstt Horticultural Society on Present Messrs Story, Appleton, Bond, Bradlee, Bigelow & Brown
Seal.
The comee to devise a seal for the corporation made a report, whereupon it was voted that the seal which had been devised should be committed to Dr. Bigelow & that he be authorised to make such alterations therein as he shall deem expedient.
Laying out Lots.-
Voted. That the comee on Lots shall be a comee to consider the expediency of laying out the whole of the grounds in Lots, & to report thereon at a future meeting.
Voted That this meeting be now dissolved.

Proprietors Meeting
To Benjamin R Curtis, Secretary of the Proprietors of the Cemetery of Mount Auburn.
You are hereby requested to give notice of a special Meeting of the Proprietors of the Cemetery of Mount Auburn, to be held at the Horticultural rooms in Boston on by publishing the same in one or more newspapers printed in Boston seven days at least before the time of meeting Boston .

By virtue of the above requisition I caused to be published in the Boston Daily Advertiser & Patriot, a newspaper printed in Boston, & more than seven days before the said time of meeting, the following notice, vis: "Mount Auburn Cemetery.— The Proprietors of the Cemetery of Mount Auburn are hereby notified that a Special Meeting of that Corporation will be held at the Horticultural Rooms in Boston, on to hear the reports of the Committees on the bye laws, & on a common seal, & to determine upon the acceptance of a conveyance from the Massachusetts Horticultural Society, & to transact any other business which may legally come before the Corporation Boston . By order of the Trustees.

Pursuant to the above notice the Proprietors of the Cemetery of Mount Auburn met at the Horticultural Rooms in Boston on friday the 10th day of July 1835 at 4 oclock P.M. The Meeting was called to order by the President. Joseph Story Esq, who was appointed at the last meeting a committee to prepare such bye laws as he should deem necessary reported the following.

Bye Laws. Com. Seal.
First. The Trustees shall have authority to provide a common seal for the Corporation, which shall remain the common seal until otherwise ordered by the Corporation.
Vacancies
Second. The Trustees shall have power to fill all vacancies in their own body which may occur between one annual meeting & another.
Bye Laws to Regulate Business
Third. The Trustees shall have authority to make any bye laws for the due regulation & management of the property business & presidential concerns of the Corporation not otherwise provided for by the act of incorporation, which shall be in force till otherwise ordered by the corporation.
Annual Meeting if not held
Fourth. If the annual meeting, or any adjournment thereof shall not be duly held according to law, it shall be the duty of the Trustees for the time being to call another annual meeting, at which any business may be transacted, which could be done at the annual meeting.
Deeds of Lots
Fifth. All conveyances of lots, or lands of the Corporation & all other deeds of the Corporation, shall be under the common seal & signed by the President or Treasurer & countersigned by the Secretary, & recorded in the books of the Corporation. The forms of conveyances & other deeds shall be prescribed by the Trustees, until the Corporation shall otherwise direct.
